analysis of the role of the board of directors in corporate governance under the companies act, 2012
Level: university
Type: dissertations
Subject: law
Author: musabi comyn

The Board of Directors has been the black box of company law in large companies with numerous and dispersed shareholding bodies, the central management of the company’s business is necessary in the hands of the board. Yet company law has traditionally specified very little about how this body should operate. The idea that the board is central to the operation of companies was recognized from the beginning by the development of wide range of duties which apply to directors who undertake to act on behalf of the company. However, the questions of which functions should be assigned to the board and how the board should organize itself for the effective discharge of those duties were ones that company law did not seek to answer. The role of the board is to plan and strategize goals and objectives for the short- and long-term good of the company and to put mechanisms in place to monitor progress against the objectives. To this regard, board directors must review, understand and discuss the company's goals. In particular, the board relies on independent directors to challenge the board's perspectives to ensure sound decision-making. In essence, board directors act as stewards of the company that govern for the present times and provide guidance and direction for the future. It's in the board's best interest to develop good working relationships with managers. Corporations run best when the board and senior management hold the same perspectives on strategy, priorities and risk management. Communication is a vital component of good corporate governance. Boards must communicate clearly and in a timely manner to develop a sense of mutual confidence and trust with their managers. It's important for board directors to be having regular conversations with managers about risk mitigation and prevention. Managers need to understand risks so that they can put processes in place to protect the company. The objective of this study was to undertake a comprehensive review of Uganda’s legal framework regarding the structure, functions and powers of Boards of Directors, highlighting the strengths and weaknesses of such framework and recommending changes aimed at addressing any such inadequacies. The findings of this study are as follows: Chapter I, introduces the study and gives an extensive and detailed background to the area of study and its significance. Chapter II reviews Uganda’s corporate legal and institutional governance framework and the findings are that corporate governance issues in Uganda relate to the role of the board, accountability of the board to both shareholders and stakeholders, and financial malpractices, which have led to the collapse of many organisations in Uganda as a result of poor corporate governance practices. The chapter also deduces that the corporate governance legal regime in Uganda is important because it underscores the crucial role of the board of directors of any company and the significance of good accounting standards. Chapter III analyses the international codes like the Cadbury report in the United Kingdom, The UK Corporate governance Code, Kings Reports of South Africa and the Sarbanes-Oxley Act of the United States, among others. The findings are that corporate governance has developed tremendously around the globe often in reaction to corporate scandals. As it develops it creates new laws, regulations and codes both at a national, regional, sector specific and international level which countries like Uganda have adopted as best practices for corporate governance. Chapter IV analyses the code of corporate governance in the two African countries of South Africa and Kenya in a comparative study with the Companies Act, 2012. The findings are that the code of corporate governance of Uganda under the Companies Act, 2012 in comparison to its counter-parts in South Africa and Kenya is strenuous and not easy to implement especially with regards to private companies where it is voluntary to adopt the said codes into the articles of association of such companies. Finally, Chapter V draws conclusions from the research gathered in the preceding chapters and makes recommendations of how best the code of corporate governance in Ugandan under the Companies Act can be improved to enable the Board of Directors effectively and efficiently carry out its role. The recommendations of this study included inter alia; Sanctions on conflict of interests; Relations with Shareowners and key stakeholders; Selection of board members with skills and experience; Mandatory Corporate Governance Structure for Private Companies; Amendment of Table F to the Companies Act, 2012; Compliance and Enforcement of the code of corporate governance under the Companies Act, 2012, among others.

There is a need to instil good morals in the children to work very hard in order to achieve great things in life. This research was guided by three study objectives and implied research questions namely; the activities and services provided by the traditional leaders and the essence of enhancing intellectual development in children. The research was based on six parts under which folktales were grouped in twos, seeking to answer some three-research questions and these parts were described as: “How do the different characters in folktales lead to the development of children’s morality?” How do children differentiate between the good and bad characters in the folktales? Which kind of moral lessons boost a child understands to intellectual development? The research explored the Bagwere society within different localities, involving interactions with them through interviews, questionnaires and enjoying the folktales being told by different people in their homes who managed to willingly contribute to the availing of their burning and most loved folktales. In this case, I also managed to find out what different people say about the current situation of the COVID 19 pandemic. This was not part of the research but there was a link with the moral lessons in the folktales that were being told to me. How is the Mugwere man deep in the village of Kebula containing the spread of the Corona virus? A study on determining the impact of these tales on the intellectual development of children was carried out on a sample of adults aged between 26-70 years of age. The choice was made following the testimonies and experience gained by these people. They had a lot to speak about their past years and how they have lived to make many years as observed. This research would not be so effective if done with young children who are still in the process of being told the stories and their development, which is still taking form. Specific methods were employed to carry out these research and they include; Collection of data about the folktales through the use of questionnaires, Interviewing people physically, Performance recording, Non-participant observation, Note taking to mention but a few. The data collected during this study has been properly analyzed.

Level: university
Type: dissertations
Subject: food science and technology
Author: mugambwa felix

The study evaluated the effect of inclusion of pregelatinized cassava flour on bread quality. High quality cassava flour (HQCF) was extruded at different moisture content of 5, 10, 20, 30 and 40%. Bread prepared from blends of HQCF and wheat flour was evaluated to determine the suitability of pregelatinized HQCF as a partial replacement for wheat flour. Bread was prepared using ratios 0:100, 10:90, 20:80 and 30:70 HQCF: wheat flour respectively. The bread loaves were assessed for their physical and sensory properties. The results showed that feed moisture and substitution level in wheat bread during extrusion influenced specific volume crumb hardness and oven spring Texture analysis results confirmed a positive effect of partial substitution by pregelatinized cassava flour in bread on retarding staling while the denser structure of the pregelatinized starch bread prevented the same positive impact on texture and staling. Results indicate that increase in feed moisture and substitution level in wheat bread increases crumb hardness, Increase in substitution and extrusion feed moisture treatment increase specific volume of bread. Increase in feed moisture during extrusion and substitution percentage lowered the ability of the bread to hold the gas through the oven.

maize price changes and effect on farmer’s income
Level: university
Type: dissertations
Subject: agribusiness management
Author: kunihira sophia

The main objective of this study was to assess change in maize price and its effect on farmer’s income. Specifically, the research examines the trend of maize prices and marketed production in Uganda during the period between 2019 and 2020. The study also examines the effect of price change on farmer’s income in Uganda. The study analysis relies on Uganda Bureau of Statistics (UBOS) Living standard data. Descriptive analysis is used to achieve objective one. An ordinary Least Square (OLS) model was estimated to achieve objective two. The findings of the study analysis show that maize price per kilogram (kg) declined for the period between 2019 to 2020 by -88.12 Uganda Shillings (UGX). This difference was mainly due to good weather conditions like favourable rainfall that led to unexpected increase in maize output. An increase in marketed production caused a decline in maize price. A combination of a higher maize price in the previous year (2019) and higher production in subsequent seasons led to more maize production and a decline in maize price in 2020. Estimation results of the OLS model show that the maize prices do not significantly affect the income of maize growing households. However, other factors such as: sex of the household head, use of hired labor, and use of inorganic fertilizers are found to significantly influence the income of maize growing households. The study therefore recommends that farmers adopt more advanced technology. This can be in terms of more use of inorganic fertilizers, participation in irrigation schemes, use of machinery for ploughing, all of which are shown to increase maize output. Farmers need to be organized into maize produce marketing groups to share information about market prices and also enhance their bargaining power to accept a much higher price for their maize marketed production.
